Welcome to Cyber Clinique. This page explains our terms of service. When you use Cyber Clinique's website or engage our services, you're agreeing to all the rules on this page. Some of them need to be expressed in legal language, but we've done our best to offer you clear and simple explanations of what everything means.

The services are provided by Cyber Clinique, a company based in Montreal, Quebec, Canada. By using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Cyber Clinique provides professional IT consulting, cybersecurity services, and web development solutions for businesses. Our services include:

  • Cybersecurity Services: Security assessments, threat monitoring, vulnerability testing, and protection implementation

Service Agreements

Specific services may be subject to additional terms and conditions outlined in separate service agreements. These agreements will be provided before the commencement of any project and will detail the scope of work, deliverables, timelines, and payment terms. In case of any conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail.

Client Responsibilities

When you engage our services, you agree to:

  • Provide accurate, complete, and timely information necessary for us to deliver our services
  • Maintain the confidentiality of any account credentials, access codes, or passwords we provide
  • Ensure you have the legal right to provide us with any content, data, or materials for your projects
  • Use our services only for lawful purposes and in compliance with all applicable laws and regulations
  • Not interfere with or disrupt our services, servers, or networks
  • Promptly notify us of any security breaches or unauthorized access to systems we manage
  • Maintain appropriate backups of your data before we perform any work on your systems

Things That Are Not Permitted

We expect all clients to behave responsibly and help maintain a professional working relationship. When using our services, don't do any of these things:

  • Don't break the law. Don't use our services for any action that infringes or violates other people's rights, violates the law, or breaches any contract or legal duty you have toward anyone.
  • Don't request illegal activities. Don't ask us to create websites, systems, or content that promote illegal activities, fraud, or deception.
  • Don't misuse access. If we provide you with access to systems, tools, or platforms, don't use them for purposes other than those agreed upon.
  • Don't share credentials. Don't share login credentials, API keys, or access codes we provide with unauthorized third parties.
  • Don't engage in harmful activities. Don't use our services to distribute malware, conduct unauthorized penetration testing, or engage in any form of cyberattack.

Payment Terms

Payment terms for our services will be specified in individual service agreements or invoices. Unless otherwise stated:

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges at a rate of 1.5% per month
  • All fees are quoted in Canadian dollars (CAD) unless otherwise specified
  • Applicable taxes (GST/QST) will be added to all invoices
  • For project-based work, we may require a deposit before commencing work
  • Recurring services (IT support, security monitoring) are billed monthly in advance

You're responsible for paying any additional fees or taxes associated with your use of Cyber Clinique's services.

Things We Don't Do and Are Not Responsible For

Cyber Clinique provides professional IT services to the best of our abilities, but certain things are outside our control:

  • We are not responsible for data loss if you fail to maintain proper backups before we perform work on your systems
  • We are not liable for third-party service outages (hosting providers, domain registrars, cloud platforms)
  • We do not guarantee that our cybersecurity services will prevent all possible security breaches, as new threats emerge constantly
  • We are not responsible for the accuracy of content you provide for your website or marketing materials
  • We do not become involved in disputes between you and your customers or any third party

Our Intellectual Property

Cyber Clinique's services, website content, brand, and proprietary tools are legally protected:

  • Our website content, methodologies, and tools remain the property of Cyber Clinique
  • You agree to respect all copyright and other legal notices on our website and materials
  • You may not reproduce, redistribute, or create derivative works from our proprietary content without express written permission
  • Any tools, scripts, or systems we develop internally for service delivery remain our property unless otherwise agreed in writing

Your Intellectual Property

We respect your ownership of your business assets:

  • You retain 100% ownership of your website, code, and all deliverables we create for you once final payment is received
  • Any content, images, branding, or materials you provide remain your property
  • You're responsible for ensuring you have the rights to any content you provide to us
  • We may request permission to showcase completed projects in our portfolio, but this is optional

You will pay all royalties and other amounts owed to any person or entity based on content you provide to us. You're responsible for the accuracy and legality of all materials you submit.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This includes:

  • Technical specifications and system configurations
  • Security assessments and vulnerability reports
  • Business strategies and proprietary processes
  • Customer data and personal information

This obligation shall survive the termination of any service agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, Cyber Clinique shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to Cyber Clinique in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Cyber Clinique, our officers, directors, employees, partners, contractors, and agents from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your breach of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Content or materials you provide that infringe on third-party rights
  • Your misuse of services or systems we provide access to

Service Termination

Either party may terminate ongoing services with 30 days written notice, unless otherwise specified in a service agreement. We reserve the right to terminate or suspend services immediately if:

  • You breach these Terms of Service
  • Payment is more than 60 days overdue
  • You engage in illegal activities using our services
  • Continuing service would expose us to legal liability

Upon termination, you remain responsible for all fees incurred up to the termination date. We will provide reasonable assistance in transitioning your services to another provider.

Dispute Resolution

We at Cyber Clinique encourage you to contact us if you're having an issue, before resorting to the courts. In the unfortunate situation where legal action does arise, these Terms (and all other rules, policies, or guidelines incorporated by reference) will be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Quebec.

Agreement Between You and Us

These Terms are the entire agreement between you and Cyber Clinique with respect to our services, unless superseded by a specific service agreement. They supersede all other communications and proposals (whether oral, written, or electronic) between you and Cyber Clinique and govern our relationship. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.

Changes to Terms

We may modify or update these Terms of Service at any time, in our sole discretion. We will notify clients of any material changes by posting the new Terms on this page. Your continued use of our services after any changes constitutes acceptance of the new terms. We encourage you to review these Terms periodically.
